Authorization to Use this Site

You hereby confirm to Doron-Yitzchak Gibor that: (i) you have reached the age of 18, (ii) are an emancipated minor under the laws of your jurisdiction of domicile or residence, (iii) have the consent of your parent or legal guardian, or (iv) otherwise have the power and authority to enter into and perform your obligations under these Terms and Conditions.

Users between the ages of 13 and 17 must (i) review these Terms and Conditions with a parent or legal guardian to ensure the parent or legal guardian acknowledge and agree to these Terms and Conditions, and (ii) not access the Site if his or her parent or legal guardian doesn’t agree to these Terms and Conditions.

SERVICES

We provide an online breakthrough coaching program. The form in which the coaching program will be delivered to the User will be through Live zoom calls, and Pre-recorded videos.

Fees and Billing

Doron-Yitzchak Gibor charges a fee for the purchase of the coaching program. You are responsible to Doron-Yitzchak Gibor for any fees applicable for the purchase of the coaching program. You authorize Doron-Yitzchak Gibor (or its partners), or its designated payment processor, to charge your specified credit card, debit card or other payment method for such fees as provided through the registration process.

You may pay for the coaching program using the available payment methods during order checkout. The supported payment methods include BlueSnap. When you submit the relevant payment information, your payment method will immediately be charged after placing the order for the coaching program. By placing an order via the website and by submitting your payment information, you agree to be charged for the relevant charges as described in the order details. You also agree to our use of your payment information and other information we collect as described in our Privacy Policy.

Cancellation Policy

Except as required by law, all fees are nonrefundable. Payment may not be canceled by the user, except as required by law. Cancellation of a transaction will be done in accordance with the Consumer Protection Regulations of 2010 (5771), and Consumer Protection Act, 1981 (5741).

However, Doron-Yitzchak Gibor (or partners) reserves the right to refuse or terminate any payment at any time in its sole discretion. You understand and agree that if you authorize a payment transaction with your credit card, debit card, or other payment method, but your charge is rejected for any reason, there may be a hold on your use of the website services for several days.

RESTRICTIONS ON USE OF SITE CONTENT

All content and materials contained in this Site or made available through the Service (“Content”), are protected by Israel and international trademark and copyright laws, are owned or controlled by Doron-Yitzchak Gibor, and must only be used for certain approved purposes as established by Doron-Yitzchak Gibor. You may only view or download Content from this Site for your own use or as otherwise expressly authorized by Doron-Yitzchak Gibor.

Limited License

Doron-Yitzchak Gibor hereby grants you a limited, nonexclusive, non-assignable, non transferable license to access and use the Site solely for your own personal, non-commercial purposes, subject to your agreement to, compliance with and satisfaction of these Terms of Use. OWNERSHIP OF INTELLECTUAL PROPERTY

Any and all Information hereof, including but not limited to intellectual property rights such as technical information, know-how, patent application right, patent right, copyright and business secrets, Videos, PDF content etc. (the “IP Rights”) shall be owned by Yi'utz Pele.

Yi'utz Pele hereby also reserves the right to lease or transfer or license all or any part of the IP Rights to any third party without the consent of the User.

As binding by this terms and conditions, “Intellectual Property Rights” shall include but shall not be limited to all trademarks, copyright, design, coaching program videos, PDF asset, or any rights to the grant or registration of such rights, existing anywhere in the world, whether created or in existence before or after the last updated date.

COPYRIGHT INFRINGEMENT

All Coaching programs owned or controlled by Yi'utz Pele and their contents may not be copied, reproduced, distributed or modified in any way without the express written consent of Yi'utz Pele. If you have any copyright concerns about any materials posted on the website, please let us know.

COPYRIGHT NOTICES

If you believe that your work has been copied and posted on the Site in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• a description of the copyrighted work that you claim has been infringed;
• a description of where the material that you claim is infringing is located on the Website (and such description must be reasonably sufficient to enable Company to find the alleged infringing material);

CONFIDENTIALITY

Except with Doron-Yitzchak Gibor’s consent, the User hereto shall not disclose or reveal, directly or indirectly, any of the Content related to the Coaching program, including but not limited to any Videos, information and materials, Login details; provided, however, that the foregoing shall not apply where any such information is publicly known or available prior to disclosure, or disclosure of which is required by law, regulation or court order.

User agrees that any breach of these restrictions can cause irreparable damages or harm to Doron-Yitzchak Gibor and will entitle Assignee to injunctive relief in addition to all applicable legal remedies.

INDEMNIFICATION

You agree to defend, indemnify and hold Company, its affiliates, and its and their directors, officers, employees and agents harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys' fees, arising in any way from any content or other material you place on the Site, or your breach or violation of the law or of these Terms and Conditions. Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Company's defense of such claim.

NO WARRANTIES

TO THE MAXIMUM EXTENT ALLOWED BY LAW, THE SITE, INCLUDING, WITHOUT LIMITATION, ALL SERVICES, PRODUCTS, CONTENT, FUNCTIONS AND MATERIALS CONTAINED OR AVAILABLE THEREON, IS PROVIDED "AS IS," "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, DATA PROCESSING SERVICES, UPTIME OR UNINTERRUPTED ACCESS, AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, AND ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE HEREBY DISCLAIM ANY AND ALL SUCH WARRANTIES, EXPRESS AND IMPLIED. COMPANY ALSO ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO OR USE OF THE SITE OR YOUR DOWNLOADING OF ANY MATERIALS FROM THE SITE. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE REMEDY IS TO DISCONTINUE USING THE SITE. LIMITATION ON LIABILITY

IN NO EVENT, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL COMPANY, ANY OF ITS AFFILIATES, OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR CONTENT OR SERVICE PROVIDERS (COLLECTIVELY, THE "PROTECTED ENTITIES") BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM, OR DIRECTLY OR INDIRECTLY RELATED TO, THE USE OF, OR THE INABILITY TO USE, THE SITE OR THE CONTENT, MATERIALS AND FUNCTIONS RELATED THERETO, YOUR PROVISION OF INFORMATION VIA THE SITE, LOST BUSINESS OR LOST SALES, EVEN IF SUCH PROTECTED ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE PROTECTED ENTITIES BE LIABLE FOR OR IN CONNECTION WITH ANY CONTENT POSTED, TRANSMITTED, EXCHANGED OR RECEIVED BY OR ON BEHALF OF ANY USER OR OTHER PERSON ON OR THROUGH THE SITE. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED ENTITIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THE TERMS AND CONDITIONS OR YOUR USE OF THE SITE EXCEED, IN THE AGGREGATE, THE AMOUNT, IF ANY, PAID BY YOU TO COMPANY FOR YOUR USE OF THE SITE AND/OR SERVICES.

TERMINATION

If the User violates this agreement, the User may be barred from future use and/or subject to legal action. Cause for such suspension, termination and/or deletion shall include, but not be limited to, (a) breaches or violations of this agreement , or of other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification of the coaching program (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, and/or (g) engagement by you in fraudulent or illegal activities.

Termination of your account may include (1) removal of access to all within the coaching program (2) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (3) barring further use of the coaching program. Further, you agree that all terminations for cause shall be made in Doron-Yitzchak Gibor’s sole discretion and Doron-Yitzchak Gibor shall not be liable to you or any third party for any termination of your account, or access to the coaching program.

Please be advised that termination does not entitle you to a refund on any monies spent with us.

SEVERABILITY

If any provision under these Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such an invalid or unenforceable provision shall be severed and shall not affect the validity and enforceability of the other valid and enforceable provisions.

GOVERNING LAW

You agree that the Website does not give rise to personal jurisdiction over Doron-Yitzchak Gibor, either specific or general, in jurisdictions other than the laws of Israel. Any claim or dispute between you and Doron-Yitzchak Gibor that arises in whole or in part from the Service will be decided exclusively by a court of competent jurisdiction located in Israel. Those who do not choose to access the Doron-Yitzchak Gibor do so at their initiative and are responsible for compliance with all applicable laws including any applicable local laws.
